1. Acceptance of these terms
These Terms of Use (the "Terms") govern your access to and use of uelabs.ai and any content, features, or services made available through it (collectively, the "Site"), which is operated by S31C LLC, a Pennsylvania limited liability company doing business as United Effects Labs ("UE Labs," "we," "us," or "our").
By accessing or using the Site, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not access or use the Site.
2. About us
UE Labs is an operator-led AI venture studio with its principal office at 300 Brookside Ave., Bldg. 4, Ste. 125, Ambler, PA 19002. The Site is informational. It is not an offer to sell or a solicitation of an offer to buy any securities, an investment recommendation, a promise of any outcome, or the formation of any business relationship between you and UE Labs.
3. Eligibility
You must be at least eighteen (18) years of age and able to form a legally binding contract to use the Site. If you are using the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, in which case "you" refers to that organization.
4. Limited license to use the Site
Subject to your compliance with these Terms, UE Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access, view, and share the Site for your own informational, educational, journalistic, or research purposes.
You may quote, summarize, react to, or comment on Site content — including in blog posts, social media, podcasts, articles, AI-assisted research, and similar activities — provided you give reasonable attribution to UE Labs and, where it is practical to do so, link back to the original page on the Site.
This license does not include any right to wholesale republish or redistribute Site content, to modify or create derivative works for commercial purposes, to remove or obscure any proprietary notices, or to use the Site in any way not expressly permitted by these Terms or by applicable law.
5. Acceptable use
You agree that you will not, and will not permit any third party to:
- Engage in automated scraping, crawling, harvesting, caching, or systematic downloading of the Site at a scale or in a manner that interferes with the Site's operation or burdens our infrastructure; standard search-engine indexing, bona fide academic, journalistic, or research use, and other lawful uses constituting fair use are permitted, in each case respecting our robots.txt and any rate limits we impose;
- Use any text, data, code, design, image, or other content made available through the Site to train, fine-tune, or otherwise develop a commercial machine-learning model, large language model, or other artificial-intelligence system that materially competes with, substitutes for, or commercializes the content, services, or ventures of UE Labs, without our prior written consent (use of Site content by AI systems for indexing, citation, summarization, search results, or bona fide academic or journalistic research is permitted);
- Use any portion of the Site, our content, or any output derived from the Site to design, develop, market, or operate a commercial product or service that materially competes with UE Labs or any of its ventures, engagements, or services;
- Reverse engineer, decompile, disassemble, translate, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of any technology made available through the Site;
- Bypass, disable, interfere with, or circumvent any access controls, rate limits, authentication, encryption, security measures, or other technical protective measures;
- Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Site or any system, network, or service used to provide the Site;
- Use the Site to transmit, post, or store any content that is unlawful, infringing, defamatory, fraudulent, harassing, threatening, obscene, or that violates the rights of any person or entity;
- Misrepresent your identity or your affiliation with UE Labs, including by impersonating any UE Labs operative, partner, or representative;
- Remove, alter, or obscure any copyright, trademark, or other proprietary notice on the Site;
- Use the Site in any manner that violates any applicable law, regulation, or these Terms.
6. Your submissions
The Site may allow you to submit information (for example, intake forms, event RSVPs, or newsletter signups). When you submit information to us through the Site, you represent and warrant that you have the right to do so, that the information is accurate, and that it does not violate the rights of any third party.
You grant UE Labs a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, copy, store, process, and act on the information you submit for any lawful purpose related to operating our business, including responding to your inquiry, evaluating potential engagements, improving our services, and complying with legal obligations. UE Labs is not obligated to keep any submission confidential except as described in our Privacy Policy or as otherwise agreed in writing.
7. Intellectual property
All content made available through the Site — including text, graphics, photographs, illustrations, icons, audio, video, code, software, design, structure, the selection and arrangement of content, and any compilations or derivatives of any of the foregoing — is owned by S31C LLC or its licensors and is protected under applicable copyright, trade-secret, and other intellectual property laws. All rights are reserved.
Except for the limited license granted above, nothing in these Terms and no access to the Site transfers or grants you any right, title, or interest in or to the Site, its content, or any related intellectual property.
8. Trademarks and branding
"United Effects®" is a registered trademark of United Effects Inc. and is used by S31C LLC under license. The "UE Labs" name, the "UEL" abbreviation, the UE Labs wordmark, the UE Labs logo, and other branding and trade dress associated with S31C LLC's operation of the Site (collectively, the "UE Labs Branding") are derived from and used in connection with the United Effects® mark and are protected as proprietary brand assets of S31C LLC under applicable intellectual property laws, including copyright in their design and arrangement.
No use of the United Effects® mark, the UE Labs Branding, or any confusingly similar mark or branding is permitted without our prior written consent. All other names, logos, and trademarks that appear on the Site are the property of their respective owners.
9. No professional advice
The Site, including any blog posts, articles, case studies, resources, guides, talks, or other content made available through it (collectively, "Educational Content"), is provided for general informational and educational purposes only. Educational Content reflects the views and understanding of its author at the time of publication, may not be current, may contain errors or omissions, and is not tailored to your specific circumstances.
Educational Content is not, and should not be relied on as, legal, financial, investment, tax, accounting, engineering, technical, medical, or other professional advice. Before acting on anything you read on the Site, you should consult an appropriately qualified professional. Your reliance on Educational Content is at your own risk.
UE Labs makes no representation or warranty as to the accuracy, completeness, currency, or suitability of any Educational Content for any purpose.
10. Engagements and services
Any consulting, product engineering, fractional operating, commercialization, accelerator, or other services performed by UE Labs (or any of its affiliates) for you will be governed by a separate written agreement between you and UE Labs (or the relevant affiliate). Nothing on the Site, and no submission you make through the Site, constitutes or creates such an agreement or any commitment by UE Labs to provide services.
11. Third-party services and links
The Site may link to, integrate with, or embed third-party services, websites, or content. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of any third-party service is at your own risk and is subject to that service's terms and policies.
12. Disclaimer of warranties
THE SITE AND ALL CONTENT AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, UE LABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Site will be uninterrupted, secure, error-free, free from viruses or other harmful components, or that any content will be accurate, complete, or current.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL UE LABS, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, MEMBERS, EMPLOYEES, OPERATIVES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE, FROM ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY, WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations above may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless UE Labs and its affiliates, and their respective officers, members, employees, operatives, agents, licensors, and service providers, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) arising out of or related to: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any right of another, including any intellectual property or privacy right; or (d) any content you submit through the Site.
15. Suspension and termination
We may, at our sole discretion and without notice, suspend, restrict, or terminate your access to the Site at any time, including for any actual or suspected violation of these Terms. Sections of these Terms that by their nature should survive termination — including Intellectual property, Trademarks and branding, No professional advice, Disclaimer of warranties, Limitation of liability, Indemnification, Governing law and venue, and this Section — will survive any termination.
16. Changes to the Site and these Terms
We may modify, suspend, or discontinue any portion of the Site at any time without notice and without liability to you.
We may also update these Terms from time to time. When we do, we will update the "Last updated" date above. Material changes take effect when posted, and your continued use of the Site after a change becomes effective constitutes your acceptance of the updated Terms.
17. Governing law and venue
These Terms, and any dispute or claim arising out of or related to them or to your use of the Site, are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. You agree that any dispute will be resolved exclusively in the state or federal courts located in the Commonwealth of Pennsylvania, and you consent to the personal jurisdiction of, and venue in, those courts.
18. Miscellaneous
These Terms, together with our Privacy Policy and any other agreement you have with UE Labs, are the entire agreement between you and UE Labs concerning your use of the Site and supersede any prior or contemporaneous understandings on that subject. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may freely assign these Terms.
